This brings up the question whether QCOM can structure the deal this way and still retain the power to secure a long-term ASIC deal as part of the subsequent sale - from a legal and IRS (tax-free exchange) point of view?

SAFCO Finds Differences Between Manhattan's
Wireless Networks

More Than 14,000 Calls Placed Over Seven Wireless Networks in Manhattan

CHICAGO--(BUSINESS WIRE)--Nov. 4, 1999--SAFCO Technologies, Inc., a Salient 3 Communications company
(NASDAQ: STCIA - news), today announced that it has completed a highly-detailed wireless network benchmarking study
comparing the call quality of the digital and analog cellular and PCS networks in metropolitan Manhattan.

SAFCO's JTFM benchmarking studies compare competing wireless operators using four measures of network performance:
voice quality (MOS), dropped calls, blocked calls and no service. In addition to these parameters, SAFCO engineers analyze
key engineering metrics for each cellular technology. In this study, all of the major wireless technologies, including CDMA,
TDMA, GSM, iDEN(R) and AMPS, were surveyed. Overall quality rankings are then given to wireless operators in that
market.

In Manhattan, the best mean voice quality score, 3.38 (on a scale of one to five with five being the best), was achieved by one
of the CDMA networks. In addition, one of the CDMA networks recorded the lowest number of blocked calls, while one of
the analog networks recorded the lowest number of dropped calls. Although, the surveyed wireless operators provided
adequate coverage in Manhattan, one digital network had capacity and noise issues. The voice quality for the iDEN(R)-based
network was second only to CDMA.
