RICHMARK CAPITAL CORPORATION initiated coverage of KAHI with a BUY rating and a 18 month target of $2.15. WHAT DOES THIS MEAN? Don't ask me LOL never heard of RickMark Capital but whoever they are they are they are very bullish on KAHI.
KAHI will report their Earnings for the year in December, last year they had 300,000 in Sales which was a 63.5% increase over 1997, with 12.2 mil in Income, numbers this year should be dramatically better with the incredible increase in Drug-oriented purchasing done over the internet by consumers, and with the new VITAPLANET.COM site.

Our investment thesis holds that KAIRE Holdings has chosen the correct strategic path, focusing on unlocking the potential value inherent in its Vitaplanet subsidiary. We believe the Company's Web site, www.vitaplanet.com, may become a successful player on the highly competitive consumer Internet drugstore playing field, as it positions itself for the senior citizen and baby boomer market.
The Company is building up the infrastructure of Vitaplanet.com and, in addition, has recently installed a long-time key player within the pharmaceutical industry, David Kazarian, as President and Senior Strategist of Vitaplanet Online Drug Store and Pharmacy Group.
We believe the Company may be properly valued by investors approximately in line with valuations presently held by other consumer online pharmacies, online health content sites, healthcare portals, online grocers and other online retail stores that offer consumer drugstore products such as medicines, vitamins, and health and personal care products. The "Valuation" section of this report addresses comparative valuations of KAIRE Holdings' Vitaplanet consumer products business with other participants in the online consumer healthcare industry.
On February 19, 1998, Kaire Holdings, Incorporated changed its name from Interactive Medical Technologies, Ltd., changed its NASDAQ OTC BBS symbol to "KAHI" from "NONI" and reverse split its Common Stock at a ratio of seventy- five (75) to one (1). On or about April 19, 1999, the Company introduced its internet e- commerce website www.vitaplanet.com.
Vitaplanet.com Strategy
The Company's Web site, at www.vitaplanet.com, has no operating history prior to April 1999. The Company is a new entrant onto the highly competitive Internet playing field.
KAIRE Holdings' planned, strategic approach to the challenge of Internet commerce involves identifying specific demographic groups as customers within narrow, vertical product and service categories. KAIRE Holdings may develop several different Web sites to serve as sales and distribution channels for the various vertical categories and demographic groups it may identify. Depending upon specific categories, KAIRE Holdings may operate business-to-consumer and/or business-to-business c-commerce models.
The Company's first piece in its Internet strategy is the planned launch of the updated, redesigned online pharmacy at www.vitaplanet.com in late 1999, targeting seniors and baby boomers.
The new strategic plan for Vitaplanet.com calls for a three-channel revenue model.
Consumer Products Center. One revenue center will be Vitaplanet's consumer products center. This section of Vitaplanet.com's Web site will offer drug store products such as prescription drugs, nonprescription or over-the-counter (OTC) medications, vitamins, nutritional and herbal products, skin and body care goods, and fitness and exercise equipment, including videos and books.
Regulation of interstate sales and distribution of prescription drugs (telemedicine) is administered at the Federal level by the Drug Enforcement Agency (DEA). In addition, each of the fifty states has its own pharmaceutical sales regulations and each state administers the rules at its own level.
Drugstores such as Vitaplanet that transact interstate sales over the Internet, as well as drugstores executing interstate business through mail order catalogs, must carefully comply with DEA rules as well as separate regulations of all fifty states.
According to recent DEA rulings, it is now legal for doctors to place orders to pharmacists over the Internet. Generally speaking, rulings at the state level do not allow interstate commerce in prescription drugs. Vitaplanet's solution to the regulatory challenge at the state level is to build a nationwide network of participating pharmacists. If the Company can sign to its network at least one pharmacist in each of the fifty states then Vitaplanet can fully execute its business plan.
A customer who lives in, for example, Washington state will visit, or be visited by, their hometown doctor and be prescribed a medication by that doctor. Instead of going next to a pharmacy to stand in line and pick up the prescription, the customer may go online, to vitaplanet.com and place an order for the prescription. In this scenario, the customer may place the order anywhere they have wireline or wireless Internet access - from home, from work, or while traveling.
Vitaplanet's host server is physically located in the state of California, but will forward the order to a participating pharmacist in Washington state. The Washington state pharmacist may either hold the completed order for the customer to pick up or mail it within state to the customer.
For bed-ridden, chronically ill patients, placing orders through Vitaplanet and receiving the orders via mail will be a convenient way for them (and their caregivers) to stay current with their necessary supplies of prescribed medications. Other customers who do not have time to wait in drug stores for prescriptions to be filled can place orders online, then pick up the completed orders at participating pharmacists, at their convenience.
The Company is targeting being fully operable as a nationwide 24/7 (24 hours a day, 7 days a week) online pharmacy during late 1999. Of course, the Internet is a global communications and commerce medium, not just national, but the Company is focused on complying with all pharmacy sales and distribution regulations within the United States. Vitaplanet is presently in the process of building its national network of participating pharmacists.
Interactive Services Center. Vitaplanet.com's second revenue stream will be subscription-based, derived from providing interactive services to subscribing members.
This section of Vitaplanet's Web site will be accessed by paid subscribers, each with their own user name and password. Upon entry into the interactive services center, a member will be able to engage in real time 24/7 online chat with other members or with standby pharmacists.
Inside the interactive services center, a small pop-up window will appear to provide the subscriber with a menu of names from which they may select to chat with. If a standby pharmacist is selected, then a pop-up window appears on that pharmacist's screen showing the subscriber's medical profile. Topics of conversation during a chat may be recorded by a pharma.'cist on the profile, so other pharmacists in subsequent chat sessions may be more fully knowledgeable about the subscriber.
Basic information about the subscriber in the profile will include age, height, weight, prescription and OTC medication history, disease and condition history, and other medical history and personal information that is typically contained in a medical profile.
According to Vitaplanet, the online pharmacists will be Certified Geriatric Consultant Pharmacists (CGCP). CGCP are specially trained to take into account complex interrelationships between senior diseases and conditions, nutrition, medications and other variables. With access to the subscriber's profile, the CGCP will be able to provide valuable information to an emergency medical service, institution or other medical caregiver if need be.
Vitaplanet's CGCP pharmacists are slated to provide a wide range of primary care services online, over the phone or via fax, and through the nationwide network of participating pharmacists in local, hometown drug stores. Services may include pharmacokinetic (the process by which a drug is absorbed, distributed, metabolized and eliminated by the body) dosing services, intravenous services (intraveneous pharmaceuticals will be available through the Vitaplanet distribution system), nutrition assessment and support, and pain management services.
Business-to-business (B2B) subscribers may also be provided with access to the interactive services center. For example, subscribing pharmacy benefit management (PBM) companies may be provided with access to consumers' medical profiles. (Pharmacy benefit managers have arisen to respond to specialized needs within the managed care industry. PBMs administer the prescription benefits for clients that are HMOs/PPOs, insurance carriers, local and state governments, employers, union trusts and other health plans. These clients in turn serve the needs of the millions of individual covered lives who are members of the health plans.)
Consumers' safekeeping of their personal privacy over the Internet, which is a public network, is a topic that needs to be addressed. We believe the Company will have to provide strong, clear assurance to consumers that data from medical records provided over the Internet to PBMs, CGCPs and other authorized users will remain secure from unauthorized viewers.
Vitaplanet is targeting the interactive services section of the Web site to be fully built and operational at some point after the launch of the redesigned, updated consumer products center. The interactive services center may be branded as the VitaSenior Health Care Network.
Since the interactive services center is a work in progress at the present time and is not as near to completion as the consumer products center, we will not include it in our valuation of the Company at this time. Future, potential subscription fee revenue derived from both consumers and businesses such as PBMs will be a space to watch as the Company grows int9 its total plan.
Health Care Resouree Center. Vitaplanet.com's third revenue channel is projected to be its health care resource center. While providing health care information and links to health care resources at no cost to visitors at this Section of the Web site, the Company is planning to receive advertising revenue from participants in the health care industry such as insurance companies.
Within the health care resource center, a visitor may follow links, or "VitaLinks," to insurance companies, senior centers, veteran centers, drug and health libraries, hospitals, doctor clinics, school nurse offices, health maintenance organizations, medical professional organizations, and other medical and health care resources.
Some of these participants within the health care industry may provide revenue or other benefits to the Company through their purchasing of banner advertising at the Vitaplanet site, or through other means such as sponsorships, barter arrangements, alliances and/or partnerships.
At the health resource center, visitors will have no-cost access to a tool that checks drug interactions. This is a database that checks for adverse interaction among two or more medications, or single medications that may interact adversely with conditions in the body. While other online healthcare sites offer similar services, Vitaplanet is hoping to go a step beyond. A drug interaction database is basically a two-dimensional relational database (that is, it has rows and columns). Vitaplanet is planning to "lay on top" of that a patient's medical profile and daily medical condition, creating a type of "three-dimensional" database.
The Company will ramp up this section of the Vitaplanet Web site after introduction of the other two sections, the consumer products center and the interactive services center. While the Company is in the early stage of planning and building this section of its Web site, we will watch this space and not include potential revenue from it in our valuation of the Company at this time.
Executive Leadership
In addition to planning, redesigning and building the pieces to the Vitaplanet Web site, KAIRE Holdings has not neglected the executive leadership factor. We believe the Company has acquired a major asset in the person of David Kazarian, RPh, FAS CD. Mr. Kazarian has recently signed on as President and Senior Strategist of Vitaplanet Online Drug Store and Pharmacy Group.
David Kazarian has participated within the pharmaceutical industry during the past two decades in leadership roles with high-visibility. Most recently he has served as President of the 7,000-member American Society of Consultant Pharmacists (AS CP), and President of Infuserve America, Inc.
Mr. Kazarian has played a highly visible role in the national healthcare reform debate, serving on ASCP's political action committee and an ASCP Medicare task force. His participation in the high-level legislative and political debates being carried on within Congress and the Administration brings valuable leadership experience and contacts to the table. In addition, he has demonstrated leadership and relationship-building skills within the pharmaceutical industry as evidenced by his being elected President of ASCP by 7,000 of his professional peers.
KAJRE Holdings has added a valuable piece to its entire strategic picture by acquiring the high caliber of executive leadership, in the person of David Kazari an. The professional experience and relationships he brings to the table cannot be duplicated and should be considered in qualitatively evaluating the Company.
Consumer Online Shopping
As the tidal wave of businesses that provide products, services, content, and advertising messages over the Internet grows, consumers have likewise responded by increasing their online spending in all categories. We expect these trends to continue in the foreseeable future. eMarketer has consolidated different online shopping estimates from half a dozen market research firms. Estimates from these firms for year 2000 consumer online shopping revenues, worldwide, range from $10 million to $26.8 million.
IntelliQuest Research estimates that 70% of the U.S. online population (age 16 and older) has made purchases online during a recent three month period. According to IntelliQuest, this represents 56 million adults who have recently shopped over the Internet.
Jupiter Communications reported that during the 1998 holiday season, in the months of November and December, 44% of U.S. households that had Internet access shopped online. (This report did not differentiate "shoppers" and "buyers.") According to Jupiter, these online shoppers spent $3.14 billion during the two months.
According to ZD Market Intelligence, 32 million U.S. adults used the Internet to shop for items to buy during the 1998 holiday season. Out of these 32 million "shoppers," 8.2 million actually transacted their purchases over the Internet, triple the number that did so during the 1997 holiday season. The shoppers that did not buy online used the internet to gather information to help make holiday purchase decisions.
The 1998 holiday season will be remembered, when Internet history is written, as the season that online shopping among mainstream, retail consumers took off. Since the numbers of buyers in 1998 were triple those of 1997 (according to ZD), it will be interesting to see if the number in 1999 is triple (or more than triple or less than triple) the number in 1998.
As a new entrant into the Internet commerce space, the Company may benefit as consumers continue to increase their shopping online.
B2B Internet Commerce
Business-to-business (commonly called "B2B") Internet commerce involves selling to other businesses rather than to end-user customers. According to Forrester Research, U.S. B2B sales on the Internet totaled $43 billion in 1998.
Forrester estimates U.S. B2B sales over the Internet to increase to $1.3 trillion in 2003. This approximates an annual doubling, or annual growth rate of 100%, over the next five years. In a similar study, The Yankee Group offered its estimates of U.S. B2B online sales at $138 billion for 1999, and $541 billion for 2003. This represents an annual growth rate of 40% over the four years.
We would expect the Company to participate in and benefit from the trend of growing B2B online sales. Oulook for Online Shopping
Internet commerce continues to look healthy going forward, with more retail and business customers becoming comfortable with the online sales model, and transacting more purchases online. As the online revenue pie grows, it benefits all participants such as the Company.
