Charter Communications has raised gross proceeds of approximately $3.23 billion by issuing 170,000,000 shares of Class A common stock at a price of $19.00 per share. Goldman, Sachs & Co., Bear, Stearns & Co. Inc. and Morgan Stanley Dean Witter are the lead managers for this offering.

Charter Communications is the fourth largest operator of cable television systems in the U.S. and will serve about 6.2 million customers, once pending acquisitions are completed. The company offers a full range of traditional cable television services, and has begun to provide digital cable television services to customers in some of its systems.

Charter Communications has also started to introduce a variety of new products and services, including interactive video programming and high-speed Internet access. The introduction of these services represent an important step toward the realization of the company's Wired World(TM) vision, where cable's ability to transmit at high speeds will enable cable to serve as the primary platform for the delivery of new services into the home and workplace.
