"After the offering, Hewlett-Packard will own approximately 87.0% of our common stock, assuming no exercise of the underwriters' over-allotment option. Hewlett-Packard has announced that it plans to complete its divestiture of Agilent Technologies by the middle of calendar year 2000 by distributing all of the shares of our common stock owned by Hewlett-Packard to holders of Hewlett- Packard's common stock."
