What other criterion is lawful for a company to use to determine a distribution ratio?

My 5 for 4 is assuming that the number of shares issued in the IPO for Palm will be 1/5 of COMS outstanding shares at a given date.

So if they use 1/2 the number of outstanding shares of coms on 1/1/2000 that represents 20% of Palms. Let's say coms has 300,000,000 on that date. Half would be 150mil. and 20% of that would be 30 million shares issued at the IPO for PALMS.

Then I would expect that coms share holders on given date will issued Palm shares at a ratio of 2.5 COMS shares for every 2 PALMS.

Is my view to naive for the real world????
