If the government prevents the merger, GMST gets half (if I remember correctly) of TV Guide's EPG and IPG revenues. TV Guide spends their money to turn half of the revenues over to Gemstar. Just as Ericsson caved, so did TV Guide.

The fall-back licensing terms are confidential. I have heard that it is a 60/40 split in Gemstar's favor but I post ~50%. It will range between a 40/60 at the low-end to a 60/40 high-end split of revenues. Anyway, this is a licensing fee! These terms very clearly demonstrate(to me at least)Gemstar's IP strength.
