January 26, 1998

Des Moines, Iowa/Palo Alto, California -- Microware Systems Corporation (Nasdaq: MWAR), developer of the OS-9-based DAVID system software for digital television, and OpenTV, Inc., the leading provider of digital interactive television delivery and applications development software solutions, today jointly announced the two companies have signed a partnership agreement to work together.

The flexibility and modularity of Microware's OS-9 real-time operating system combined with OpenTV's hardware- and platform-independent software will enable Microware and OpenTV to provide their customers with a cross-compatible, off-the-shelf solution for digital interactive television applications and services. The two companies will benefit by providing a superior combined solution for the needs of the European digital broadcast industry plus a variety of other international markets as well as the United States market.

"The partnership between Microware and OpenTV is a big step in advancing the digital interactive television industry as a whole," said Jan Steenkamp, chief executive officer of OpenTV." Our two companies have gained recognition in their own rights in this growing market and together, we can make even greater progress toward furthering the continued deployment of digital interactive services worldwide."

Ken Kaplan, chief executive officer and president at Microware added, "We have found that Microware and OpenTV share some things in common which make this partnership a sound alliance. One is the match between our technologies, another is the great relationships we have established through our successful histories in the industry. And another is our desire to work together to advance what we both recognize as an opportune market in digital interactive television."

From Trader John on thelion.com.......".in the B2B sector we like recent IPO, ASD Systems (ASDS). This is great
opportunity to accumulate at $8 1/4 as the last of the "share flippers" are removed
of their shares. I personally have a $25 target in 3 weeks time. Customers include
Sears Roebuck (S) and Toys "R" Us (TOY). The company acts as a middleman
between companies and their customers, offering services such as order
processing, fulfillment networks, call center networks, replenishment, e-commerce
integration, and supply chain integration. Competes in the same space as
Commerce One (CMRC) and Ariba (ARBA). With ASDS sporting a market cap of
$145 million it is truly a steal at these levels. "
