My humble opinion (and random speculation)...:

This new ain't bad -- only the timing is. 7 year paper, callable in 3. My guess is that these shares will never be issued, as CF's cash flow machine will provide enough bucks to pay down the P&I in full by the call date...

This release is very strange -- the weird timing is underscored by the fact that even the conversion terms aren't spelled out -- like the thing had to be rushed out today. I just keep thinking that CF (and ML, H&Q, etc.) has reason to believe that the share price will be higher by the time they price next week. A more valuable company would indicate a lower negotiated interest rate for the bonds and less potential new shares, I would guess...

Remember, we were told AOL (I think) and Excite by year-end, and we're still waiting on Intuit...Also, heard some wicked rumors on CNBC this morning about Citi bidding for BankOne/Wingspan. Could you just see Citi throwing out the whole eCiti/Horowitz deal for a turnkey operation (a la checkfree) by scooping up Wingspan.....????

Wild speculation on my part - guess we'll find out soon enough...
