Vantive Announces Special Meeting of Stockolders and Termination of Stock Repurchase Program

SANTA CLARA, Calif.--(BUSINESS WIRE)--Nov. 19, 1999--The Vantive Corporation (Nasdaq:VNTV) today announced that its board of directors has declared Wednesday, December 29, 1999 as the date of a special meeting of Vantive's stockholders to consider and vote upon a proposal to approve the Agreement and Plan of Merger, dated October 11, 1999 by and among Vantive, PeopleSoft, Inc. (Nasdaq:PSFT), and a wholly-owned subsidiary of PeopleSoft.

The special meeting will be held at The Santa Clara TechMart at 5201 Great America Parkway, Santa Clara, Calif. at 9:00 a.m., local time. Vantive also announced today that its board of directors has declared the close of business on Wednesday, November 17, 1999 as the record date for the special meeting. Only those stockholders of record of Vantive on the record date shall be entitled to vote at the Special Meeting and any adjournments and postponements.

Additionally, the company announced today that it had terminated its stock repurchase program as a result of its with PeopleSoft. In July 1999, Vantive's board of directors authorized a program to repurchase up to $10 million of common stock on the open market at prevailing market prices. To date, the company has not repurchased any shares of common stock under the program.
