Talk Visual Announces Multi Million Dollar Acquisition; Company to Pay
$3.5 Million in Cash and Stock for 49 Profitable Retail Locations

MIAMI, Nov 17, 1999 (BUSINESS WIRE) -- (NASD OTC/BB symbol:TVCP)
Company chairman Michael J. Zwebner announced this afternoon the
signing of a Letter of Intent with MTS of Florida Inc., to purchase
from them 49 profitable retail telephone calling and money transfer
locations. Retail locations are located; 15 in New York, 23 in Greater
Miami, one in Los Angeles, five in Puerto Rico, and five in the
Dominican Republic. The current business has revenues in excess of
eight million ($8,000,000) per annum, and is operating profitably. MTS
of Florida is a privately held company.

Michael J. Zwebner stated: "This acquisition is the first of several in
the pipeline. This will create for Talk Visual instantaneous retail
telecommunication locations in key ethnic marketplaces. This
positioning will enable us to attain immediate Videocalling
distribution into one of our key market segments. Already, under a
separate agreement, we have successfully transformed five of these
retail locations into telecommunication centers, complete with new
Videocalling rooms and full global videocalling ability."

Mr. Zwebner went on to state that: "These shops are all frequented by
ethnic customers -- a vital segment of our key target markets. It will
now be much easier to penetrate this market with its well established
customer base."

The company will also shortly announce definitive plans to market
cellular telephones phones, pagers and prepaid telephone cards from
these retail locations. This acquisition will now increase the
company's number of retail locations to over 75 worldwide.
