Paul Allen to Take Control of ZDTV

NEW YORK (Reuters) - Microsoft co-founder Paul Allen will take control of ZDTV, the cable channel devoted to computers and the Internet, by purchasing Ziff-Davis Inc.'s (NYSE:ZD - news) 64 percent stake in the venture for $204.8 million, the two sides said on Friday.

The deal, expected to close within 45 days, will raise Allen's stake in ZDTV to 97 percent. That stake is held by Vulcan Ventures Inc., Allen's venture capital arm.

ZDTV, which is distributed in more than 14 million homes, will continue its joint news organization with Ziff-Davis's publishing and online business ZDNet (NYSE:ZDZ - news), as well as promotional and audience development programs.

The deal is the latest in a series of moves by Ziff-Davis to sell off parts of the media and marketing company following a decision by its largest shareholder, Softbank Corp. (9984.T), to focus exclusively on Internet properties.

Two days ago Ziff-Davis said it was selling of ZD Education, a business-to-business learning organization, to a unit of Wasserstein Perella for $172 million. In late August Ziff-Davis sold its ZD Market Intelligence unit to Harte-Hanks Inc. (NYSE:HHS - news) for $106 million.

Shares of Ziff-Davis, publisher of ''PC Magazine,'' were up 1/8 at 16-7/8 in early trading on moderate volume on the New York Stock Exchange.
