Mannesmann is 60 % owned by foreign investors.
So there is still a chance, that Mr. Gent will get this deal through. On the other hand, Deutsche Bank and Allianz which are members of Mannesmann's supervisory board are supporting Mannesmann's CEO Mr. Esser in his attempt to fight VOD. Fact is that German institutions are willing to see at least 270 Eur per Mannesmann share. They also demand a cash component in this deal (20 - 30 %). At current levels VOD has not their support.
On the other hand Mannesmann tries all possibilities to fend off the bid. My impression is, that they gonna spin off their industrial division to their shareholders in order to keep them content.
Concerning the public opinion: I agree that this deal is decided by shareholders, but telecom companies depend on good relations to the government (reagrding new licences) and going this the hostile way like Mr. Gent does is not very wise. It's better to make allies rather than enemies.
