Purchasers 7/15/99 - 11/22/99 On November 22, 1999, Navigant Consulting, Inc. issued a brightly-titled press release ("New Management Team to Lead Navigant Consulting to Next Phase of Development") that admitted that the company had either fired or "accepted" the resignation of Robert P. Maher, till then Chairman, CEO and President of the Company, Charles A. Demirjian, erstwhile General Counsel, Stephen J. Denari, till then V.P. - Corporate Development and that Maher and Barry S. Cain resigned their seats on the Board of Directors. The press release also reported the appointment of a special committee to investigate the conduct of these officers in connection with $17 million in loans made to Maher, Cain, Demirjian and CFO Timothy Kingsbury. These loans were allegedly used to purchase stock of the Company at advantageous prices, immediately preceding public announcement that the Company had received buy-out overtures and was exploring strategic options including the possible sale of the Company. Thereafter the Company's stock price soared and the loans from the Company were repayed by the officers with Company stock, at significant profit to the purchasing insiders. The Company's accountants have since questioned whether certain acquisitions made by the Company and characterized for financial reporting purposes as poolings-of-interest must now be re-characterized as purchases as a result of the insider stock purchases. Such re-characterization could materially affect reported financial results. The market was quick to react to the news, drastically cutting 45.2% off the prior trading day's closing price, closing on November 22, 1999, at $14.25, down from $26 on November 19, 1999. During the period 7/15/99 - 11/22/99, the Company's stock has traded as high as $54.25.
