I'd be willing to bet money (I guess I am!) that people here would hear talk of that long before anybody else. Even saying that though, I'd certainly agree that the perception of that would cause selling even if it wasn't going to happen (the informed market again :). I personally can't see management doing that at a lower price; one big reason for this is the alliances announced yesterday - having a big brother puts a lot less pressure on you to become big yourself, to use an analogy...

I will be stunned it a financing is done for under $2.00. I think that management is bright enough to know that doing a financing before they at least have a few deals on the table would be foolish.
I expect there to be some new deals announced very soon along with a name change...next comes the Medsite filing...then the financing at double or better today's price...then the IPO

One rational explanation for this sustained selling pressure is that a private placement/financing has been agreed to and will be done at a lower price.

You are way off base on that one. I have talk with all the guys at length and there is no way they plan on doing a financing at this price or anything near this price. Given them a call and ask them yourself...you will get the same answer. I am personally expecting a large PP to be done in the mid-$3 range sometime in the next 6 months. I have no facts to support this guess but based on what I have seen and talks with management this is what I am expecting.
