Roughly this:(my take on this only)<g>

Mindspring 'MSPG' will exchange 1.615 shares of its stock for each share of Earthlink 'ELNK'.

On merger date (1st or 2nd Quarter of 2000)
Last purchase date 3 days before merger??

On merger 100 shares MSPG = 100 shares new ELNK
On merger 100 Shares Old ELNK = 161.5 shares new ELNK

Example: if on day of merger price was this:
Currently Mindspring is quoted at $34.06/share, and Earthlink is quoted @ $57.25/share.
There for: 100 old ELNK would be exchanged for 161.5 share
new ELNK 34.06 (MSPG price at time of merger)

Based upon the exchange ratio, each share of Earthlink should be worth $55.01/share. The premium on the merger is a negative $2.24/share. ($55.01-$57.25)
