Well Denise,

I hope you are right... but the way I see it is:

28M shares issued for Clickchoice and 8M issued for the $27.8 package. This 8M is not additional money.

This IS difficult, isn't it?

I make it out as 8million shares issued at $3 in consideration for the cash and services total of $27.8million, and clickchoice for the other 28million shares. The PP is not a separate transaction the way I read it, but the way that Vanenberg is getting up to 50% of the new company (ie. they need more than the 28million shares they get for clickchoice)
