2.6 Million Shares of Globalstar 8% Convertible Preferred Stock Converted Into Common Shares
NEW YORK--(BUSINESS WIRE)--Nov. 29, 1999--Globalstar Telecommunications Limited (NASDAQ:GSTRF - news) announced today that, in a privately negotiated transaction requested by the holders, 2,603,605 shares of Globalstar's 8% Convertible Preferred Stock due 2011 were converted into 5,597,633 shares of Globalstar Common Stock.

``This opportunistic transaction provides the company with additional financing flexibility as we initiate Globalstar service,' noted Bernard L. Schwartz, chairman and chief executive officer.

In connection with this conversion, Globalstar paid the holders 924,324 shares of common stock, the equivalent of the dividend pre-payments to which they would have been entitled under the terms of the Convertible Preferred Stock if a Provisional Redemption had been made.

After giving effect to the conversion and the dividend pre-payment, Globalstar L.P.'s fully diluted share base, upon which earnings per share are calculated, increased by less than one percent to approximately 282 million shares, of which approximately 88.6 million shares are publicly traded.

Jill, Poet, thank you for your replies. I have heard of Northpoint and receive flyers of many colors and persuasions hawking high speed internet connections when I mosey on over to J&R Computers on Park Place. Invariably, when I give the sidewalk santas my telephone prefix, they smile wanly, apologize that "we're not in your neighborhood yet" and shuffle off after new prey. I commute daily, but live in the near boonies, at least as far as modern telecommunications is concerned.

That's why, at least so far, I'm waiting to see what another dish on my roof will do.
