WLGS - OAKLAND, Calif.--(BUSINESS WIRE)--Dec. 1, 1999--World Wide
Wireless Communications, Inc. (OTC:BB Symbol "WLGS") announced today
the acquisition of 51% of Infotel Argentina, S.A. As announced
previously, Infotel is the owner of MMDS licenses in eight of the
largest cities in Argentina - including Buenos Aires - and it is
expected that high speed wireless internet service will be offered by
the new entity within several months.
The agreements concluded today and executed in Buenos Aires
include a Management Agreement, a Shareholders Agreement, and a
revised Stock Purchase Agreement. Under the terms of these agreements,
WLGS will appoint the majority of Infotel's directors and will be in
charge of the management of that company. The new venture - which will
retain the name Infotel Argentina, S.A. until a new one is adopted
will be jointly operated by the current management and employees of
Infotel along with additional individuals brought in by WLGS.
The Management Agreement provides for the payment to WLGS of a
management fee based on gross revenues and further contemplates that
WLGS will sell equipment to Infotel for the build-out of the systems.
In addition, WLGS will receive 80% of profits from the venture's
operations until all funds provided by WLGS to the project have been
repaid.
"Naturally we are pleased that our acquisition of the majority
interest in Infotel has now been completed," stated Douglas Haffer,
President and Chief Executive Officer of WLGS. "Our enthusiasm for the
Argentine project has only increased since our initial Letter of
Intent was executed and we believe the acquisition will serve as a
significant first step in the development of WLGS' international, and
more particularly, Latin American, operations."
In other news, WLGS announced today the execution of a Memorandum
of Understanding involving the establishment of a new business
relationship with a significant telecommunications entity in Brazil.
Additional information regarding this relationship is expected to be
issued upon the execution of a definitive agreement between the
parties.
