To All: SmartStockAdvisor.com By the end of this week we will be posting a request on Raging Bull and Silicon Investor for any questions you wish addressed by the company. These questions will be submitted to HHD for response in the form of a FAQ which will then be posted on these boards. We note that some have already started this process of asking questions (e.g. NefariousNed on RB.) We prefer to gather questions from the boards in the format described above, since we are not able to respond to each and every question asked on these boards in a timely way. Also, our answers to most questions must be verified and approved by the company, which will delay many answers. In this case, however, we will respond to the questions asked on RB-post #5894. The following answers have been approved by John Folger, CEO and President, HouseHold Direct.com 1) Who is Martin J. Gersten with relationship to HHD? HouseHold Direct's Corporate Counsel 2) Has BYIT contacted NetZero (NZRO) the "free" national ISP who just moved into 2nd place behind AOL about a strategic partnership? Yes, and several others as well. HHD cannot yet talk about the results of these negotiations. 3) How many shareholders must BYIT have to be accepted by NASDAQ? 300 for the NASDAQ Small Cap and 400 for the NASDAQ National Market 4) How many shareholders does BYIT currently have on the books? HHD is contracting for an audit to determine the exact number of beneficial owners of its stock. 5) Why isn't PCS registered in Alabama? Unknown at this time. HHD currently has staff working on the consolidation and integration of PCS into HHD and should have the answer to this soon. 6) Is BYIT's plan to acquire AHTB before or after BYIT's stated IPO? Yes, before the stated IPO. 7) If that bridge loan( intended for the finalization of the new Web site and portal and to pay for certain acquisitions and to implement marketing programs) does not consummate before 12-31-99, what effect will that have on those plans? If the bridge loan is not fully secured, yes it would effect the pace of acquisitions and marketing efforts, but would not stop those plans completely. The company is already in final redesign of its website and already has marketing and telemarketing efforts ongoing. 8) When is the secondary IPO slated for? It is implied that it will be before March, 2000 in the last paragraph under the sub-title "Internet Commerce". The secondary IPO is expected to occur in either 2nd or 3rd quarter 2000, but the actual date cannot now be exactly determined, since there are events that are not within the complete control of HHD, e.g. fiscal audits, investment banker initiatives, etc. 9) The $491,792 of debt on the books is owed to whom and for what? Various vendors and marketing expenses. Once the audits are completed exact numbers and names will be available. 10) Exactly how was the company "funded by a reverse merger with a public company", as stated in the 8th paragraph under the sub-title Company Overview? Once the company merged into the shell as it went public, a 504 was done for a public offer of shares. Approximately $850,000 was raised in addition to approximately $600,000 from principals and another investor. 11) Why would "major manufactures" give BYIT "cost-plus" pricing and not other entities such as Mercata or Accompany? Mercata and Accompany operate from a different model than HHD. HHD offers the complete manufacturer's line of product and do not "demand aggregate" orders for specific products. Yes, an online shopping site could offer a specific product at a lower price than HHD if they ordered truckloads of an older or discontinued product. HHD will offer the lowest prices for all current products across a manufacture's line. 12) What was Online Business Associates at the time Mr. Folger and Mr. Werner worked there? Mr. Folger was a joint venture partner in this technology web developer company with Alfred Werner who was the VP and Chief Technology Officer. 13) Were Mr. Folger and Mr. Swanson ever in business together?
