NewRiver Announces $12.5 Million in New Financing

Pequot Private Equity Funds Joins Existing Investors Lazard Technology Partners and The Manufacturers Life Insurance Company (USA) in Funding Expansion of Web-based E-Business Solutions Provider for the Investment and Insurance Industries

Andover, MA, August 2, 1999 — NewRiver Investor Communications, Inc. (NewRiver), the single most comprehensive source for all Internet-based mutual fund and variable annuity content, and a leader in electronic technology design for the financial industry, today announced the company has closed $12.5 million in new financing. The new financing was led by a $6 million investment by Pequot Private Equity Funds, and included existing investors Lazard Technology Partners and The Manufacturers Life Insurance Company (USA). Other major investors participating in this financing were Corning Technology Ventures and Graystone Venture Partners. MF Private Capital, Inc., a Boston-based investment banking firm, assisted in the financing.

President and Chief Executive Officer Larry C. Renfro stated "NewRiver has established itself as the leader in developing the only electronic SEC-compliant data warehouse which allows brokerages and other fund management firms to supply account holders with a comprehensive on-line library of prospectuses and related fund disclosures. The new funding will further fuel new product development efforts in both the pre- and post-sale environments, allowing us to continue designing and deploying methods to facilitate Web-based sales of securities. The prominent investors in NewRiver will also be able to assist us with our future strategic alliances."

Gerald A. Poch, Principal of Pequot Capital Management, recently joined NewRiver's Board of Directors, as well as the Executive Committee of the Board. He commented "NewRiver is clearly the e-business leader in providing electronic delivery solutions for mutual funds, on-line brokerages and insurance company clients, as they develop and extend their electronic media in Internet offerings. We are already gratified by the market's response to NewRiver's offerings, as evidenced by new contracts with DST, SalomonSmithBarney, and E*Trade."

The Pequot Private Equity Funds is the private placement/direct investment arm of Pequot Capital Management, Inc. The Pequot Private Equity Funds invests in public and late-stage private companies in information technology, telecommunications, and healthcare. Pequot Capital Management, Inc. is a research-intensive investment firm with approximately $6 billion in assets under management.

NewRiver Investor Communications, Inc. is the fastest growing provider of fully compliant electronic media/Internet-based business solutions dedicated to facilitating communications and related business initiatives for the investment and insurance industries. NewRiver's electronic paradigm provides significant cost savings on both pre- and post-sale document delivery over the traditional paper paradigm, and empowers distributors of mutual funds to meet the delivery expectations of their e-mail enabled investors. Clients include E*Trade, SalomonSmithBarney, The Hartford, Aetna, and Prudential Insurance. The company was originally founded in 1995 under the name InUnity Corporation.

The NewRiver name provides symbolic allusion tying Internet-based communication and commerce to the birth of capitalism forged from the intricate network of rivers and waterways that facilitated trade, information exchange, and commerce.
