anyone here know if there is some sort of legal loophole that causes most companies to incorporate there (in Delaware)?

Corporation law is best defined and clearest in the State of Delaware. They also have a history of a "business-friendly" judiciary -- not a loophole, just more dependable and reliable than other jurisdictions. That's why most companies incorporate there. I'm sure I'm providing just a superficial rationale, but I think that summarizes it.
