Lucas, I'm not an expert in this area, but I believe HSR has 30 days in which to respond to the initial filing with FTC relating to a business combination, such as GMST and TVGIA. Typically, within that period the FTC requests additional documentation from the parties to facilitate its review of possible anti-competitive aspects of the transaction. If the FTC does not respond within that time, I believe that establishes a presumption, if not conclusive consent, that FTC will not review the transaction with a view to possible remedial proposals. Since I think that it has been more than 30 days from the GMST/TVGIA announcement, the parties would have disclosed FTC sign-off had they not heard from the staff. Corrections welcomed.
