MKC - it is viewed as a positive because it brings much needed coverage to what many here feel is still an undervalued stock. Many stocks in this new sector have market caps of several billion dollars, while ACTV's is just a little over a billion. Also, look at the quality of investment bankers announcing their intention to get involved here.

The 4 huge IBs that are going to do the follow on offering speaks very well of the companies prospects. They are staking there reputations on Actv.
These firms are in a sense now "backing" the company.

It will be a piece of cake for them to sell the shares. Many of them are probably "sold" already.

And the 115 millon is alot of money to do the rollouts/integrations.
Its now a far safer investment.

Also, all the money(minus underwritting expense) is going to the company and not to any sellers(secondary).

More $$ for Actv and evidence of the many large shareholder's positive outlook.

It's positive if the resultant proceeds can be employed profitably. I know that sounds like a text book answer but it takes a lot of cash to bring a new technology to market and to maintain and increase ones position in that market. Don't forget how big this market is expected to be. Think of the offering as a second IPO.

To gain some comfort, research TV/Internet convergence. Henry Nicholas of Broadcom called the convergence the next "killer application." Check out ACTV's partners at their web site, especially Liberty Media. Also, go back and read past posts. What I know would not even fill a thimble compared with most of the posters on this board.

Good luck and I hope you are able to convince yourself that this is truly a very attractive investment.
