Wire 15:18:00 Business Wire Copyright (c) 1999, Business Wire Tuesday, December 7, 1999 Spacelabs to Consider Spin-off, Capitalization of Lifeclinic.com Internet Business; Directors Approve Engagement of Investment Bankers REDMOND Wash.--(BUSINESS WIRE)--Dec. 7, 1999--Spacelabs Medical, Inc. (Nasdaq:SLMD) announced today that its Board of Directors has authorized the engagement of investment bankers to explore a spin-off or other means to re- capitalize its new Internet subsidiary, Lifeclinic.com(TM). The Lifeclinic.com web site was launched December 6, 1999. The new site helps consumers benefit from over 10,000 vital-signs monitoring kiosks that measure parameters, such as blood pressure, pulse and weight, in pharmacies and other retail locations across the United States. The kiosks have an established community of approximately 3 million unique users who generate approximately 200 million readings per year. This community of users already generates advertising and sponsorship opportunities, demonstrating the commercial viability of Lifeclinic.com. The web site provides rich, health-related content and utilizes proprietary personal medical record charting software that enables consumers to track and facilitate the management of their health. It is expected that the 10,000 existing vital-signs kiosks will initially provide monitoring locations for users of the web site. The Company is at an advanced stage in the development of a web-enabled kiosk that will allow consumers to have their vital-signs measurements automatically downloaded into their personal health chart on Lifeclinic.com. This e-kiosk is expected to be completed in the first half of the year 2000 and its deployment is anticipated to significantly increase the number of unique users and enhance web site community retention. In commenting on this announcement, Chairman and Chief Executive Officer Carl A. Lombardi stated, "With the linkage of consumer medical devices, health charting and health-information content, Lifeclinic.com provides unique benefits to the consumer and readily distinguishes itself from other content- only based sites that have proliferated. The significant installed base of devices and established user community make this venture an exciting commercial opportunity. Lifeclinic.com has a first-mover advantage in this space and we hope to capitalize on that advantage to enhance existing shareholder value. We expect to promptly engage investment bankers to advise us on alternative means of financing this initiative, including the separation and potential spin-off of the Lifeclinic.com subsidiary." Spacelabs was founded in 1958 to develop specialized vital-signs monitoring equipment for the space program. Today it is a worldwide leader in cardiovascular monitoring, diagnostic instrumentation, clinical information systems and ambulatory blood-pressure monitoring devices used by physicians to monitor patients' blood pressure over a 24-hour period. The Company owns and maintains more than 10,000 consumer kiosks which enable users to independently monitor blood pressure and other vital signs. This is the largest installed base of consumer health care monitoring sites in the United States.
