Dear Hersh,

The OpenIPO auction for Andover.Net resulted in a clearing price of
$24. Unfortunately, you have not been allocated any shares. The
reason that you did not receive an allocation may have been one of the
following:

1. Your bid was below the clearing price set by the OpenIPO auction.
2. You may not have reconfirmed your conditional offer in a timely
basis when asked to do so.

Andover.Net elected to set the public offering price at $18. Everyone
who bid at or above the clearing price of $24 will receive his or her
shares at $18.

Thank you for your interest in WR Hambrecht + Co and in Open IPO.
