Net Creation to launch IPO, merge with
Boreale

QUEBEC CITY, Dec 7 (Reuters) - Net Creation, a Quebec City-based
Internet application firm, said on Tuesday it would launch an initial
public offering within the next 60 days through a reverse takeover of
Quebec mining firm Exploration Boreale (BOR-M).

The transaction's value was not revealed.

Quebec City-based Exploration Boreale ceased trading at 43
Canadian cents a share last Wednesday. It will likely start trading
again in early February under the Net Creation name.

Net Creation, with a staff of 25, is part of the 250 people-strong
Quebec consortium Gespro Technologies.

Tuesday's announcement put and end to a week of speculation
about the sale of Net Creation's key product "nStein," a play on the
name Einstein, an artificial intelligence application for managers that
the company says summarizes texts in French and English in an
intelligible manner.

In a statement issued early on Tuesday, Exploration Boreale said an
IPO prospectus would be issued soon, adding the transaction would
need regulatory approval from the Quebec Securities Commission.

"The board of Exploration Boreale will recommend its shareholders
vote in favor of the proposed merger with Net Creation at a general
meeting, the date of which date has not yet been determined,"
Exploration Boreale Chief Executive Guy Bedard said in a statement.

Colorado-based consultant Mark Franke, of Evergreen Software
Partners, said going public was the right strategy for Net Creation.

"They have the right technology," he said. "Our assessment of the
market for this kind of linguistic technology is that Net Creation has a
competitive advantage because the market is still wide open."
