Management doesn't like unexpected proposals to appear on 'their' proxy. Whether a well-meaning owner's suggestion for tracking stock (which might get shot down as 'ordinary business'), a takeover-friendly BOD slate, or a 'socially responsible' resolution, it's guaranteed to annoy management. Aside from overzealous application of the ordinary business exemption, it's suprisingly easy for a longtime shareholder to get something on the proxy -- but it takes some committment and effort.
