WHITE PLAINS, N.Y.--(BUSINESS WIRE)--Dec. 9, 1999--Winfield Capital Corp. (NASDAQ:WCAP - news) announced today that InfoSpace.com, Inc.
(''InfoSpace'') (NASDAQ:INSP - news) plans to acquire one of Winfield Capital's privately held portfolio companies, Prio, Inc. (formerly SaveSmart, Inc.) of
Mountain View, California (''Prio'' or the ''Company'').

Prio is a provider of ''e-nabled'' commerce solutions specializing in the development of strategic relationships, technologies and programs that drive commerce in
both traditional and online shopping environments. The Company's ''e-nabled'' commerce platform delivers high return for Internet sites and services, online and
traditional merchants, and credit card industry partners by presenting personalized, valuable promotions and relationship marketing programs to consumers over the
Internet.

Winfield Capital purchased 116,279 shares of preferred stock of Prio which will, as the result of the closing of InfoSpace's acquisition of Prio, be exchanged into
shares of common stock of InfoSpace. Winfield Capital purchased these shares at a cost basis of $4.30 per share. The exchange ratio is subject to final adjustment
at the closing. At the present exchange ratio of .1136, Winfield Capital would receive 13,209 shares of the common stock of InfoSpace. Under the terms of the
planned acquisition, shareholders of Prio are to receive registered shares of common stock of InfoSpace. The acquisition is expected to be completed in the first
quarter of 2000, and is subject to customary conditions, including the receipt of regulatory approval and Prio shareholder approval.
