IH, Al,

Rummaged a bit in EDGAR. Mr. Carpenter and two fellow employees of Key filed an S-3 in May to sell upwards of 600,000 shares. Mr. Carpenter has sold all but 10 or 20 thousand as of over a month ago. Could the continued pressure be due to his co-workers starting THEIR selling binge? I'll have to keep shuffling through the Form 4s. Does anyone here get access to them before I would find them in EDGAR archives?

FWIW, a more recent S-3 characterizes Mr. Carpenter as an important employee. Indeed he commands the highest key man insurance policy benefit. But it does look like he's leaving, with this much selling.

Cheers, Tuck
