If a deal had been struck or was even in serious negotiation the one thing you wouldn't see is insider buying. You can get away with that if its not too close to when a deal was made or was in serious negotiation. Buying now and announcing a deal in a week or two is something that even the dumbest insider generally doesn't try.

You can bet that if there is a serious negotiation going on that all executives and employees with any knowledge of the negotiations have already received a notice and probably been in a meeting with legal to discuss the issues related to insider information..
