"Without a question, this is a ridiculous overreaction," said Jack Blackstock, an analyst at Donaldson Lufkin & Jenrette. "I believe the whole thing is off base. I am confident that Tyco's accounting policies are among the most conservative among the larger industrial companies," he added.

Blackstock, who is maintaining a $75 price target, for Tyco stock, said the SEC is most likely just checking to see if the company "did what it said it would do" in terms of accounting for its deals, rather than questioning its accounting practices.

"The irony is that once this (investigation) is done, they will have a better Good Housekeeping seal of approval than anyone else out there" in terms of their accounting practices, he said. >>
