I don't know. But why should anybody be making that kind of money if (s)he isn't performing? I am not against performance-based compensation. I just think it needs to be paid in cash and accounted for like any other operating expense.

It's not a cap of $1 m, it's a cap on the deductibility of compensation over $1 m unless it's performance based.
