HIGHLIGHTS: * On Thursday, 12/9/1999, Tyco announced that it was advised 12/8/99 that the SEC will launch a "nonpublic, informal inquiry" relating to charges and reserves taken in connection to acquisitions.

* We are not changing our EPS estimates or our STRONG BUY rating. Tyco's ability to show strong free cash flow ($3.3B F2000E or $1.90 per share) is not affected by the inquiry or by any (in our view unlikely) required changes in accounting for reserves.

* We believe that TYC shares at current levels (particularly under $30) are a very unusual buying opportunity for investors with a time horizon of greater than 3 months who can stomach the uncertainty of the SEC inquiry.

* While we believe that the SEC will not find anything substantive, TYC shares are likely to remain range bound (at their new, lower level) until the inquiry is completed, all else being equal.

* There is no set time frame for the inquiry. Informal SEC inquiries have a wide range of duration (from a week to many months to indefinite). Our guess is that this is more than a week's project. We hope that the inquiry could be concluded in several months, but there is no way of knowing for certain.

* The SEC inquiry is likely to focus on 2 issues: has TYC taken the restructuring actions promised at the time of any charge, and have those actions occurred within an appropriate time (usually 3 years).

* We believe, based on TYC's past disclosures, that the company has been well within SEC guidelines on both scope and timing of restructuring charges and actions.

* Our math shows that Tyco's percent of reserves remaining from charges are approximately: 45% at the end of the year, 26% after one year and 9% after year two (results from 1991 through 1998).

* We rate Tyco shares STRONG BUY. Our 12-month price target is $81 (35x $2.30 C2000E EPS). Tyco offers the "complete package" for investors, in our view, with strong internal growth plus free cash flow and acquisition acumen.
