Dell Carries Out OOC Succession, Expands Board of Directors
IBM Senior Executive Joins as Vice Chairman; Mort Topfer, Sam Nunn Named to Dell Board
ROUND ROCK, Texas--(BUSINESS WIRE)--Dec. 13, 1999-- Dell Computer Corporation (Nasdaq: DELL) today announced a planned
change in its Office of the Chief Executive Officer (OOC), and added
two members to its board of directors.
Dr. James T. Vanderslice, previously senior vice president and
group executive of IBM's Technology Group, has joined Dell as vice
chairman, reporting to Chairman and Chief Executive Officer Michael S.
Dell. Dr. Vanderslice succeeds Morton L. Topfer, and joins Mr. Dell
and Kevin R. Rollins in the company's OOC. The change was made in
preparation for Mr. Topfer's retirement at the end of the calendar
year 2001.
At the same time, Mr. Topfer and former U.S. Sen. Sam Nunn have
been appointed to seats on the company board of directors. Their
selections expand the Dell board to 12 members.
A veteran of more than 30 years at IBM, Dr. Vanderslice has for
the past two years led IBM's Technology Group, which comprises the
company's storage systems, microelectronics, networking-hardware and
printer-systems divisions. He also provided functional guidance to the
display and technology-market development units, both based in Japan.
In this position, he was a member of IBM's Corporate Executive
Committee, reporting directly to Chairman Louis V. Gerstner Jr.
"Jim's extensive leadership experience with IBM has spanned
nearly every area of global technology development, marketing and
operations," said Mr. Dell. "We are very fortunate to be able to
benefit from his wide-ranging expertise as we embark on the next era
of growth and development at Dell.

incalculable contributions to Dell's expansion, operations, and
organizational development since joining our company in 1994," he

During his distinguished career with IBM, Dr. Vanderslice has led
various global businesses for IBM, including its
communications-products division, manufacturing and development for
the company's Asia Pacific Group, and the computer-products division.
Mr. Topfer, 63, came to Dell in June 1994, after retiring from a
23-year career with Motorola Inc., where he served in a succession of
executive positions culminating in his post as executive vice
president of Motorola and president of the company's Land Mobile
Products Sector.
In addition to joining the company board, Mr. Topfer will provide
counsel to Mr. Dell on issues such as operations, quality and customer
experience prior to his eventual retirement.
Since Mr. Topfer joined Dell, the company has added more than $20
billion in revenue and 10 new manufacturing and customer-service
operations, as it expanded into Asia, China and Latin America, as well
as within the United States and Europe. Mr. Topfer has overseen many
of the company's achievements in quality, process and efficiency which
have led to Dell's attaining the highest return on invested capital of
any major company in the computer systems industry.

Sen. Nunn, who represented Georgia in the U.S. Senate for 24
years, is a senior partner in the Atlanta law firm of King & Spalding,
where he focuses on international and corporate law. During his time
in the Senate, he served as chairman of the Senate Armed Services
Committee and the Permanent Subcommittee on Investigations, and was a
member of the Intelligence and Small Business committees. Sen. Nunn is
a native of Perry, Ga., and a graduate Emory University and the Emory
University School of Law.
