<America Online, Inc., Motorola, Inc. and Nokia have agreed to purchase fromus, in private placements that will occur concurrently with the closing of this offering, an aggregate number of shares of our common stock equal to up to 4.5% of our capital stock, which percentage is based on outstanding common stock as well as options to purchase shares which have been granted as of, 2000, but not exceeding an aggregate investment of more than $225 million.>

From the above, if 4.5% is @225 million, then they are valuing the whole company at 5 billion - which is exactely what I, and others, had been using on this thread for Palm value at IPO.

5 billion translates to around $12 to each coms share. But as we all know these stock won't stay at ipo price so the benefits to coms is just un-quantifiable. Also they may chose to up the ipo price as we get closer to the ipo date or even day before the ipo.

Anyone care for a good laugh? Here's a link
to the JP Morgan downgrade on September 14, 1999
right after the palm spinoff was announced and
the stock was at about $28 as I recall!
Maybe they'll upgrade it when it hits
$50 in less than a week!

NetTV and 3COM to Demonstrate Broadband, High-Resolution Entertainment
at the Western Cable Show in Los Angeles December 14 to 17
BUSINESS WIRE - 02:02 p.m Dec 14, 1999 Eastern

SAN RAFAEL, Calif.--(BUSINESS WIRE)--Dec. 14, 1999--NetTV, a
leading provider of Digital Entertainment set-tops and progressive-scan
digital televisions, today announced an arrangement with 3Com
Corporation (Nasdaq: COMS) to use 3Com Cable Modems in their
ExtremeDVD(TM) digital entertainment PCs.

The resulting high-speed, high-resolution streaming broadband
entertainment will be demonstrated at the Western Cable Show December
14 to 17 in booth 4531 of the Western Hall of the Los Angeles Convention
Center.

"The alliance between 3Com and NetTV is founded in the pursuit of
providing the highest quality streaming broadband entertainment available
today," said 3Com's Kelaine Hamilton, Product Line Manager, Cable
Modems. "Both the broadband delivering capabilities of 3Com and Digital
Entertainment features of NetTV's ExtremeDVD are ready to take their
place in today's digital entertainment centers."

"3Com selected NetTV's ExtremeDVD to demonstrate the delivery of the
highest quality digital entertainment and information in a powerful,
integrated broadband system," added Hamilton. "NetTV's integration of
3Com's internal cable modems in its digital entertainment systems also
eases deployment for cable modem service providers, and provides easy
start-up for the consumer."

"NetTV is pleased to be using 3Com Cable Modems in our ExtremeDVD,
and to be demonstrating the latest advances in digital entertainment with
3Com at the Western Cable Show," said NetTV President Ron Perkes.
"Our ExtremeDVD Digital Entertainment PC is optimized for
high-resolution video -- DVD and HDTV -- and Dolby Digital(TM) 5.1
channel sound, and is the ideal platform for high-speed Internet and
streaming media. ExtremeDVD creates a compelling need for high-speed
Internet access, and we benefit greatly from the superior quality and speed
of 3Com Cable Modems. 3Com's advanced technology allows NetTV to
make a quantum leap in our ability to provide all forms of digital
entertainment."

Cable modems provide high-speed access to the Internet by utilizing the
bandwidth capacity of cable television networks; enabling potential
download speeds far exceeding phone-based speeds of analog modems or
ISDN devices. The digital service does not require a phone line and
provides a reliable, low-cost connection to the Internet.

"Over the next several years, industry experts project the U.S. market for
multi-functional set-top systems, such as NetTV's, at between 27-million
and 35-million," explained NetTV Chief Financial Officer Peter Ohtaki. "In
addition, Goldman Sachs projects broadband penetration of 74 million
U.S. households by 2008. The power of streaming broadband combined
with the functionality of NetTV delivers superior digital entertainment."

"3Com Cable modems provide download speeds hundreds of times faster
than standard analog modems so there's no need to wait for information
and entertainment to arrive. The quality of 3Com's modems, and the
download speeds they supply, enhance everything NetTV does in the arena
of digital entertainment," added NetTV's Perkes.
