agreement to join the America Online, Inc. (NYSE:AOL) Affiliate
Network.

As a partner in the AOL Affiliate Network, StogiesOnline will earn
referral fees by encouraging StogiesOnline.com customers to join the
No. 1 best-selling online service! StogiesOnline.com will promote AOL,
by publishing one of their special Banners, Buttons, or Text Links
promoting an AOL product. Because AOL is the No. 1 brand on the
Internet, visitors instantly know what they're buying. According to the
agreement, AOL will pay monthly lump sum bonuses at certain milestones
