A wild speculation. Growth Capital is a front for shorts wanting to have an insurance policy to cover. Shareholders have no withdrawal rights...what a crock! All IMHO.

All of the following other than the historical facts represents my opinions only.

The 2,300,000 shares or less that Growth Capital Corp. (GCC) is offering to purchase represent slightly less than 5% of the 46,146,229 SNRS shares outstanding as of Nov. 12, 1999 per the most recent 10-Q:

By tendering for less than 5% of the outstanding shares, GCC is not subject to the various filing, disclosure and other regulatory requirements of Section 14(d) of the Exchange Act and Regulation 14D:

The description of the tender offer in the SNRS press release biz.yahoo.com indicates that the shareholder is being asked to give GCC the right to purchase SNRS shares at a price of $12.50 (up to a limit of 2.3 million shares across all tendering shareholders). GCC on its part has no obligation to purchasse the tendered shares. Thus in essence the tendering shareholder is being asked to give GCC a free irrevocable call with a strike price of $12.50 on the tendered SNRS shares. Since GCC may extend the period of the tender offer, the term of the call likewise may be extended indefinitely.
