In many takeovers the denials went up to the day before the
sale,

That would be a good conspiracy theory! But personally I think it makes more sense to view it as 2 concurrent streams of activity (by different teams)

1) Charge ahead with making the business viable
for the normally valid reasons (Flynn)

2) Explore what people will pay for the company (Morgan
Stanley et al), and do a deal if TM and the board agree

Even if activity 2 fails (or is only half-hearted), 1) is
necessary. Worst case, it might convince a new buyer that they do not have a basket-case on their hands. In negotiations, it is not necessarily a desirable negotiating stance to say: "We are in a mess--take us out of our misery--you are our only hope".

It would also make sense from a potential new buyer's standpoint to have Flynn make such statements to shake out
a few million more shares at a cheap price. It might be hard to achieve that otherwise.

Personal opinion only. I guess we will see....
