CMGI to Acquire yesmail.com; Leader in Permission Email Marketing Joins Forces with Internet's Largest and Most Diversified Network

ANDOVER, Mass. and VERNON HILLS, Ill.--(BUSINESS WIRE)--Dec. 15,
1999--CMGI, Inc. (NASDAQ:CMGI) announced today that it has signed a
definitive merger agreement to acquire yesmail.com (NASDAQ:YESM), a
leading outsourcer of permission email marketing technologies and
services, in a stock-for-stock merger transaction. Under the terms of
the merger agreement, CMGI will issue .1252 CMGI shares for every
share of yesmail.com held on the closing date of the transaction.
Closing of the transaction, expected in March of 2000, is subject to
customary regulatory approvals, including formal approval by
yesmail.com shareholders. At that time, yesmail.com will become a
majority-owned operating company of CMGI.
