What I had in mind was two issues:

One, the first conversation (not under CDA) where sometimes the conversation resembles those cozy chats/breakouts. If I have an equity investment, or if I'm thinking about it (or anyone related to me), this definitely puts a chill on it. This is the one that concerns me most, making those conversations more awkward/difficult.

Second, there's more trading of public securities by private investors around the time of deals they are (or were considering being) involved in than market wants to admit. Shutting this down isn't necessarily a bad thing, since sometimes these involve "shenanigans."

This is a rather quaint yank POV.

Its not like there are any investors anywhere else in the world out of the reach of the SEC that can do pretty much what they please.

In many parts of the world insider trading is a sport.
