Re. split: engineer, you are 100% right. The reason for the "split" issue in the proxy, is that the stock will be "split", four for one, which means adjustments to the capital accounts on Q's balance sheet. Most "splits" are in the form of a stock dividend, which requires no stockholder action as long as the authorized number of shares is adequate to the post stock dividend share count.

I'm not suggesting it will happen, but Q's board could declare a "split"--stock dividend--post meeting if it wanted.
