USA VIDEO INTERACTIVE AND LIGHTFORCE FILMS SIGN CONTRACT FOR INTERNET STREAMING VIDEO AND ADVERTISING CONTENT

CULVER CITY, CALIFORNIA - DECEMBER 23, 1999 -- USA Video Interactive (NASD: USVO; CDNX: US; www.usvo.com) and Lightforce Films/LFITV.com (www.lightforcefilms.com) have agreed to join forces and have signed a deal to host and distribute innovative animated and live content and to broadcast it on the Internet. The agreement firmly establishes the two companies in the rapidly growing Internet entertainment and advertising markets.

"We're now fully engaged in the huge Internet advertising and entertainment markets with good solid representation in the digital entertainment capital of the world, southern California," said Edwin Molina, President of USA Video Interactive. "Internet advertising reached $2 billion last year, is headed well above that this year and is growing exponentially. Most of this is going to static banner ads, but we bring the added dimension of full-motion video that can be accessed by virtually anyone with a computer and a modem, not just the high-end users. This market is exploding and we're in exactly the right place at the right time."

"With our contacts in the entertainment and advertising world and with what we already have going on the Internet, I expect that when we add video to on-line advertising, we will capture a healthy percentage of this multibillion dollar market," said Jay Malla, Co-President of Lightforce Films. "By combining our creative with USA Video Interactive's technical skills, we will be bringing the highest quality product to consumers and advertisers alike."

Lightforce produces the wildly popular and iconoclastic Internet comedy, The Ozzie and Quark Show, which features animated space aliens observing and commenting on life on Earth from their space vehicle perspective. The Ozzie and Quark Show has received rave reviews and is rapidly drawing visitors even before a promotional campaign is launched. The Washington Post said that Ozzie and Quark "are pop culture voyeurs completely out of this world, edgy, wacky, in your face comedy that's sure to cause net congestion."

Lightforce Films Co-President and General Manager Jay Malla has a broad-based background in the entertainment industry with a career that began in music as a Capitol Records recording artist, then with WPIX TV and United Nations Television. He started Malla Entertainment Management in 1987, overseeing the career of several major label-recording artists. His ability to connect with talent, actors, directors, screenwriters, multimedia designers and musicians is a valuable asset that gives the company a competitive edge in providing creative services and producing content. Lightforce Films is focused on becoming a leader in the industry by creating stimulating and compelling ideas that connect with consumers and generate profits for the investors.

Lightforce Films Co-President and Creative Director Robert Pfitzner has written, directed and produced numerous award winning short films including the critically acclaimed, Cargo From Cairo and Last Call. He created, wrote and directed the children's action adventure TV pilot Cyberkidz and is presently overseeing postproduction on Ozzie & Quark for LFITV.COM. With the launch of Lightforce Media Works, Pfitzner has been active behind the camera producing commercials and music clips while overseeing the creative aspects of the company web sites LFITV.COM, FORCE10200.COM and CASTINGDIRECTORSNET.COM.

Among Lightforce's affiliates are Force 10200, which produces and hosts music and music videos on the Internet; LFITV, which produces all forms of Internet media; and Lightforce Media Works, which produces broadcast commercials, music videos, ad campaigns and web design.

Lightforce will incorporate the USA Video Interactive Wavelet and Video on Demand technologies and USA Video Interactive will provide technical support, consultation, hosting, network architecture and operations to Lightforce. Both companies will collaborate on advertising and marketing strategies and production in all media including Internet, television, radio, print, etc.; and both companies will jointly promote and market their products and services.
