"Synergex and Registry Magic Sign Merger LOI
Deal Furthers Synergex E-Business and Web Enablement Initiatives
SACRAMENTO, Calif.--(BUSINESS WIRE)--Dec. 17, 1999--Synergex International, of Gold River, Calif., and Registry Magic of Boca Raton, Fla., today announce the signing of a Letter of Intent that will result in a merger of the two entities.

Financial details of the agreement were not released. The merger is subject to, among other things, execution of a definitive agreement and approval of each company's shareholders.

''This step advances what for Synergex has been a natural -- and fast -- evolution into providing the Web technologies and enablement required for today's enterprise applications,'' said Michele Wong, president and CEO of Synergex. ''Our focus is on transforming our business and making e-business and e-commerce a reality for our expanding customer base. Registry Magic's applications are at the forefront of the features comprising tomorrow's e-business solutions.''

Synergex is a privately held company that develops and markets Synergy/DE, an integrated set of high-productivity application development tools for building, integrating, and deploying enterprise applications, an increasing number of which are being delivered via Web interfaces. The company's channel of over 500 Independent Software Vendors (ISVs) covers a range of vertical industries, including healthcare, resort management, banking, and manufacturing.

Bruce Carlsmith, CEO of Registry Magic, says, ''Synergex brings an expanded management team with solid experience, a proven customer base of business applications, and integration technologies. We expect this move to greatly shorten the time to market of our Internet voice offerings.''


I'd say we need more than this to figure it out. At least we're moving and not dead in the water.
