There's nothing to stop them from doing that. In fact, NPTK did the same thing in mid November. They did a reverse merger into a reporting shell.

It's a loophole that allows companies to completely defeat the intention of the new rule requiring them to become reporting. What they end up reporting using this scheme is information that is totally useless to investors - the condition of the reporting shell company before it was acquired.

I'll bet this loophole becomes a bonanza for whoever controls clean reporting shells. For everybody else, it's a travesty.
