Do you want a spinoff or a tracking stock. A tracking stock relates to a the performance of a defined set of assets (like Hughes in GM). It may be separately incorporated, but it is owned by the parent corp and the tracking stock is distributed to parent company stockholders but they never control the tracked company. There are no tax consequences.
A spinoff is something very different, like LU and NCR from AT&T which are completely independent corporations. Done properly, the stockholders split the basis of their original stock between the the remnant and the spin off company. When AT&T broke up in the '80's everyone got a packet of stocks from the breakup.
