ProtoSource Corporation Acquires MicroNet Services, Inc.

FRESNO, Calif., Nov. 1 /PRNewswire/ -- ProtoSource Corporation (''the Company'') (Nasdaq: PSCO - news, PSCOW - news), today announced that it has
acquired substantially all the assets of MicroNet Services, Inc. (''MicroNet''). MicroNet is a national internet service provider (''ISP'') and web hosting business
located in New Haven, Connecticut. The assets purchased by ProtoSource include all of MicroNet's subscriber base as well as its commercial based web hosting
business. Financial terms of the agreement were not disclosed.

Raymond Meyers, ProtoSource's Chief Executive Officer, stated, ''We are very excited about the acquisition of MicroNet. It is our first acquisition of a national ISP
since the completion of our initial public offering and represents a major step toward our plan to consolidate regional ISPs in niche markets where major players such
as AOL and Mindspring do not find it profitable to operate.''

Commenting on the fact that key personnel of MicroNet will join ProtoSource upon the completion of the acquisition, Mr. Meyers stated, ''With the addition of
James Sette, as Vice President of Business Development, and other key personnel of MicroNet, ProtoSource is creating an infrastructure which will allow it to
execute its business plan of consolidating local ISPs in niche markets.'' Mr. Meyers said, ''We believe that there is tremendous opportunity in the niche markets for
ProtoSource to grow its business without having to compete head to head with the major ISPs. Our plan is to expand into other geographic areas which are not
properly serviced by the major providers. We believe that MicroNet will be easily integrated into our present business mix, and we intend to acquire additional
companies that meet our business model.''

ProtoSource is a full service, internet service provider which offers complete internet service to consumers, public agencies and businesses. Services include
residential and commercial high speed internet, dedicated and dial-up access, web hosting, web site development and electronic commerce. In May 1999,
ProtoSource purchased in excess of 10% of Infosis Corp., a privately-held provider of Internet-based electronic publishing software and services.

ProtoSource successfully completed its initial public offering of common stock on May 15, 1998. The offering consisted of 1,050,000 Units at an initial offering price
of $5.75 per Unit.
