In theory I suppose you are correct. However, the only asset that the new venture company owns at this point is the ten million bucks and GUMM's "intellectual property"...I believe that GUMM will still own their manufacturing and packaging capability. Rather than place a value on intellectual property (which they presumably already owned) I proffered 49% of tangible value....as net addition to balance sheet.

Thus, Swedish Match is the right combination.

Couldn't agree with you more, Ron. These guys know exactly what they are doing....both Swedish Match (recently exiting from the cigarette smoking business) and GUMM! It is gonna be fine.....
