A lockup agreement refers to -an agreement between a holder(s) of shares and a potential buyer- In this case I believe it referred to the Shearhart's signing an agreement that they would tender all their shares at 1.65, since they own over 50% of SHW there is no danger of a higher bid from another company gaining control or a bidding war.
