It will own: Internet Search Engines, infolocity.com auctionmine.com RECENT DEVELOPMENTS On September 23, 1999, we announced that we had signed a definitiveagreement to merge with Infolocity, Inc., a privately held internet companyengaged in the operation of InvestorFacts, a business-to-business internetservice. Through its proprietary search technology, Infolocity assists publiclytraded companies in minimizing the impact of negative or false informationposted on the internet. Upon completion of the merger, Infolocity will becomeour wholly owned subsidiary, and Infolocity's stockholders will receiveapproximately 7.25 million shares of our common stock. Additionally, uponcompletion of the merger, Infolocity's current President Victor Holtorf willbecome our Executive Vice President and Chief Operating Officer, andInfolocity's current Chief Executive Officer James J. Cerna, Jr. will become ourExecutive Vice President, Strategic Planning. Messrs. Holtorf and Cerna willalso be appointed to our Board of Directors.
