TSMC and WSMC Agree to Merge
TSMC Board Also Approves Modified Exchange Ratio for TASMC to TSMC Shares
HSIN-CHU, Taiwan--(BUSINESS WIRE)--Jan. 7, 2000--Taiwan Semiconductor Manufacturing Company (TSMC) (NYSE:TSM - news) and Worldwide Semiconductor Manufacturing Corporation (WSMC) today announced that they have signed an agreement to merge WSMC into TSMC. The merger agreement was approved today by the boards of directors of both TSMC and WSMC. The consolidation date of the merger is targeted for June 30, 2000, at which time WSMC will be absorbed into TSMC. The merged entity will operate as TSMC.
